1. Scope
These Terms of Sale govern every purchase of the Azentie Agent Kit made on azentie.com. By placing an order you accept these terms, together with the Licence, the Refund Policy, the Delivery Policy, the Acceptable Use Policy and the Privacy Policy, which form part of this contract.
We may update these terms. The version published on this page at the moment of your order is the one that applies to that order, and changes are never applied retroactively.
2. Who can buy
You must be at least 18 years old, or the age of majority in your country, and able to enter into a binding contract. If you buy on behalf of a company, you confirm you are authorised to do so.
3. What the product is
The Azentie Agent Kit is a downloadable package of source code, prompt files, configuration files and written documentation, sold in three editions: Core, Pro and Agency. The exact contents of each edition are listed next to its price on the home page at the moment of purchase.
What it is not. The kit is not a hosted service, a subscription, an API, or a finished application. Nothing runs on our servers. You supply your own model provider accounts, API keys and infrastructure, and you pay those providers directly for whatever you consume.
4. Orders
Selecting an edition and completing payment on the Stripe checkout page forms the contract. We may refuse or cancel an order, refunding it in full, if we suspect fraud, a chargeback history, a breach of the Acceptable Use Policy, or an error in the published price.
5. Prices and taxes
Prices are shown in euros (EUR) and include any tax that applies at the point of sale, as calculated by Stripe. Your bank may apply a currency conversion or foreign transaction fee, which is outside our control. We may change prices at any time; the change never affects an order already paid.
6. Payment
Payment is a single charge, taken at checkout by Stripe. There is no recurring billing, no stored card for future charges by us, and no renewal date. We do not offer instalments, invoices on account or purchase orders.
7. Delivery
Delivery is electronic and starts immediately after payment is confirmed. Full details, timings and what to do if nothing arrives are in the Delivery Policy.
8. Licence
You buy a licence to use the files, not ownership of them. The licence is perpetual for the edition you bought, is granted worldwide, and cannot be revoked unless you breach it seriously and do not fix the breach after we ask you to. The full terms, including what each edition allows, are on the Licence page.
9. Updates
Updates published for the edition you bought are included at no extra cost while the kit is maintained. We do not commit to a release schedule and we may stop publishing updates at any time. Files you have already downloaded remain yours under the same licence if that happens.
10. Your right to cancel and refunds
If you are a consumer in Brazil, article 49 of the Consumer Defence Code gives you seven days from the purchase to withdraw from a contract concluded outside a commercial establishment, and that right is not affected by these terms. If you are a consumer in the European Union or the United Kingdom you have a statutory withdrawal period of fourteen days, which for digital content delivered immediately may be lost once delivery begins.
To keep this simple in every country, we grant a voluntary 14-day full refund on every purchase, with no conditions about how much of the kit you downloaded. See the Refund Policy.
11. Warranty and conformity
We warrant that the kit will substantially match its description on this site at the time of your purchase. If it does not, tell us and we will correct it, replace it or refund it. This is in addition to any statutory guarantee of conformity that applies where you live, including the guarantee under articles 18 and following of the Brazilian Consumer Defence Code.
Beyond that, and to the extent permitted by law, the kit is provided as it is. We do not warrant that it is free of defects, that it fits a particular purpose you have in mind, or that any agent you build with it will produce a particular result. Outputs of large language models are probabilistic and must be reviewed before you rely on them.
12. Liability
To the extent permitted by law, our total liability arising out of or in connection with your purchase is limited to the amount you actually paid for it. We are not liable for indirect or consequential loss, loss of profit, loss of data, or costs charged to you by model providers, cloud providers or third parties as a result of code you deployed.
Nothing in these terms limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or any other liability that cannot be limited under the law that applies to you as a consumer.
13. Your responsibilities
You are responsible for the API keys, accounts and infrastructure you connect the kit to, for the security of your own systems, for the costs your providers charge you, for reviewing code before you run it in production, and for whatever the agents you build do. You must also comply with the Acceptable Use Policy.
14. Support
Support is provided by email at support@azentie.com, in English or Portuguese, on business days. We aim to answer within one business day. The Agency edition includes email support for twelve months from purchase. Support covers the kit itself; it is not a consulting, development or debugging service for your own code.
15. Force majeure
We are not liable for delay or failure caused by events outside our reasonable control, including outages at our hosting, email or payment providers.
16. Termination
Your licence ends if you breach it seriously and do not fix the breach within fourteen days of a written notice from us. If that happens you must stop using and delete the files. Payments already made are not refunded in that case, except where the law requires it.
17. Governing law and jurisdiction
These terms are governed by the laws of Brazil. If you are a consumer, you keep the protection of the mandatory consumer rules of your country of residence, and you may bring proceedings in the courts of your own domicile. Article 101 of the Brazilian Consumer Defence Code applies to consumers resident in Brazil.
18. Miscellaneous
If any clause is found invalid, the rest stays in force. Our failure to enforce a clause is not a waiver of it. You may not transfer these terms to someone else without our written agreement; we may transfer them if the business is sold, without reducing your rights.
